Terms of Service

These Terms of Service ("Terms") govern your access to and use of www.snapdec.com (the "Site"), operated by Snapdec Sdn Bhd (Company No. 201601042062 / 1213004-D) ("Snapdec", "we", "us", "our"), together with any content, demos, downloads and communications we provide through it. By accessing or using the Site you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Site.

If you are using the Site on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and "you" in these Terms refers to both you and that organisation.

1. Scope of these Terms

These Terms apply to the public Site only. Your organisation's purchase and use of Snapdec products and services, including SnapCore™, SnapWarehouse, SnapWarehouse+, SnapFactory, Snap3PL, SnapAI Workflow Enterprise, SnapAI Vision and SnapIOT, and any implementation, integration, training, support or custom development, are governed by a separate written agreement (such as a proposal, quotation, subscription agreement, master services agreement or statement of work) signed or accepted by your organisation (a "Customer Agreement"). If there is any conflict between these Terms and a Customer Agreement, the Customer Agreement prevails in respect of those products and services.

2. Use of the Site

We grant you a limited, non-exclusive, non-transferable and revocable licence to access and use the Site for your own business information purposes, in accordance with these Terms. You must be at least 18 years old to use the Site. We may change, suspend or discontinue any part of the Site at any time without notice and without liability to you.

3. Acceptable use

You agree not to, and not to permit anyone else to:

• use the Site for any unlawful purpose or in breach of any applicable law, including the Computer Crimes Act 1997 and the Communications and Multimedia Act 1998 of Malaysia;
• attempt to gain unauthorised access to the Site, its servers, databases or any connected system, or to probe, scan or test the vulnerability of the Site without our written permission;
• introduce viruses, malware or any other harmful code, or interfere with the proper working of the Site, including by denial-of-service attacks;
• use automated tools (bots, scrapers, crawlers) to extract data from the Site other than search-engine indexing in accordance with our robots.txt, or use Site content to train machine-learning models without our written consent;
• submit false, misleading or spam content through our forms, impersonate any person or organisation, or misrepresent your affiliation;
• reproduce, copy, frame, mirror, modify, distribute or create derivative works from the Site or its content except as permitted in Section 6; or
• remove or alter any copyright, trademark or other proprietary notice on the Site.

4. Product information and no offer

The Site describes Snapdec's products and services for general information purposes. Product features, capabilities, performance figures, screenshots, timelines, go-live estimates and pricing shown on the Site are indicative only, may change without notice, and do not constitute a contractual offer or warranty. Specific scope, deliverables, capabilities, timelines and fees are confirmed in writing in a Customer Agreement following a scoping engagement.

Statements about AI capabilities (for example forecasting, computer-vision detection, OCR or agentic workflows) describe the intended operation of our products under appropriate conditions and with suitable data; actual results depend on your environment, data quality, hardware and configuration.

Case studies, testimonials and client logos are shown with the relevant customer's permission and reflect that customer's experience. They are not a guarantee that you will achieve similar results.

5. Demos, trials and submissions

Requesting a demo, quotation or consultation through the Site is a request only and does not create a contract. We may decline or prioritise requests at our discretion. Any demo, trial or sandbox access we provide is for evaluation only, may be withdrawn at any time, and is provided "as is" unless a Customer Agreement states otherwise.

Any information, feedback, ideas or suggestions you send us through the Site, other than personal data (which is handled under our Privacy Policy) and confidential information covered by a written non-disclosure agreement, is non-confidential. You grant Snapdec a perpetual, irrevocable, royalty-free licence to use such feedback for any purpose, including improving our products, without obligation to you.

6. Intellectual property

The Site and all of its content, including text, graphics, logos, icons, images, photographs, video, audio, page layouts, design, software, source code, underlying technology and the selection and arrangement of these (together, the "Content"), are owned by Snapdec Sdn Bhd or its licensors and are protected by the Copyright Act 1987 of Malaysia and international intellectual-property laws.

You may view, download and print pages from the Site for your own internal business use, provided you keep all proprietary notices intact. Any other use, including commercial reproduction, republication, distribution or creating derivative works, requires our prior written consent. Nothing in these Terms transfers any intellectual-property rights to you.

All intellectual-property rights in Snapdec products, including software, models, algorithms, documentation and improvements, remain with Snapdec or its licensors at all times, regardless of any Customer Agreement, unless that agreement expressly states otherwise.

7. Trademarks

Snapdec, the Snapdec hub-and-node logo, the tagline "connecting the dots for great decision", SnapCore™, SnapWarehouse, SnapWarehouse+, SnapFactory, Snap3PL, SnapAI, SnapAI Workflow Enterprise, SnapAI Vision, SnapIOT and TheDots are trademarks or trade names of Snapdec Sdn Bhd or its affiliates, whether or not registered. Other product and company names mentioned on the Site, including AutoCount, SQL Accounting, SAP, Oracle, Infor, Google and WhatsApp, are the trademarks of their respective owners, and their appearance does not imply endorsement of or by Snapdec. You may not use any Snapdec trademark without our prior written permission.

8. Third-party content and links

The Site may contain links to, or embed content from, third-party websites and services such as LinkedIn, Facebook, YouTube, WhatsApp, Google and partner or client websites. These are provided for convenience only. We do not control, endorse or accept responsibility for the content, products, services, privacy practices or availability of any third-party site, and your use of them is at your own risk and subject to their terms.

9. Privacy and personal data

Our collection and use of personal data through the Site is described in our Privacy Policy, which forms part of these Terms. Forms on the Site are protected by Google reCAPTCHA, which is subject to Google's Privacy Policy and Terms of Service.

10. Disclaimer of warranties

The Site and its Content are provided "as is" and "as available". To the maximum extent permitted by law, Snapdec disclaims all warranties, conditions and representations, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or completeness. We do not warrant that the Site will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Site or its servers are free of viruses or other harmful components. Any material downloaded or obtained through the Site is at your own discretion and risk.

11. Limitation of liability

To the maximum extent permitted by law, Snapdec, its directors, employees, agents, licensors and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profit, revenue, business, data, goodwill or anticipated savings, arising out of or in connection with your use of, or inability to use, the Site or its Content, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if advised of the possibility of such loss.

To the extent that liability cannot be excluded, Snapdec's total aggregate liability to you arising out of or in connection with the Site shall not exceed Ringgit Malaysia One Thousand (RM1,000). Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under Malaysian law. Liability for Snapdec products and services is governed by the applicable Customer Agreement, not by this Section.

12. Indemnity

You agree to indemnify and hold harmless Snapdec and its directors, employees, agents and affiliates from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.

13. Suspension and termination

We may suspend or terminate your access to the Site, in whole or in part, at any time and without notice if we reasonably believe you have breached these Terms or if required by law. Sections 5 to 15 survive any termination.

14. General

• Changes to these Terms. We may revise these Terms at any time by posting the updated version on the Site with a new "last updated" date. Your continued use of the Site after a change constitutes acceptance of the revised Terms.
• Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Snapdec regarding use of the Site, and supersede any prior understanding relating to that use. They do not replace any Customer Agreement.
• Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will continue in full force.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms. We may assign them to an affiliate or successor without notice.
• Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including network or hosting failures, cyber-attacks, government action, epidemics or natural disasters.
• Language. These Terms are issued in English. Should a Bahasa Malaysia version be issued, the English version prevails in the event of any inconsistency.

15. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of Malaysia. Before commencing proceedings, you agree to first raise the matter with us in writing and to make a good-faith effort to resolve it amicably within 30 days.
